1. Purpose
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User") and EduVerse™ ("Platform", "we", "us") governing your access to and use of the EduVerse™ online education platform. This agreement is electronically executed via Clickwrap under the Indian IT Act 2000 §5 and the Indian Contract Act 1872.
2. Scope & Applicability
These Terms apply to:
- All users who access, browse, or register on the EduVerse™ platform
- All device types: web browsers, mobile, and PWA
- All user roles: Student, Tutor, Administrator, and Owner
- All features: tutoring sessions, assessments, scheduling, billing, and AI assistance
By accepting the End User Website Agreement (EUWA) on first visit, you confirm that you have read, understood, and agree to be bound by these Terms.
3. Terms & Definitions

4. Acceptance of Terms (Clickwrap Mechanism)
Access to EduVerse™ is conditioned upon your acceptance of these Terms. Acceptance is recorded through our Clickwrap mechanism as specified in EVP-CLP-01:
- The full EUWA text is presented on first visit in a scrollable modal.
- The User must affirmatively select a mandatory checkbox confirming review and acceptance.
- The User must click "I AGREE — Continue to EduVerse™".
- Consent is logged with timestamp, IP address, user agent, and verbatim acceptance statement.
- Access is blocked until consent is recorded.
This constitutes a valid electronic contract under Section 10A of the IT Act 2000 (India) and carries the same legal force as a handwritten signature.
5. User Accounts & Registration
5.1 — Registration Requirements
You must provide accurate, current, and complete information during registration and keep it updated. False or misleading registration information may result in immediate account suspension.
5.2 — Account Roles

5.3 — Age Requirements
- Users under 13 require verifiable parental consent (COPPA compliance).
- Users aged 13–17 may register with guardian awareness.
- Users 18 and older are fully responsible for their own account.
5.4 — Account Security
You are solely responsible for maintaining the confidentiality of your credentials. EduVerse™ supports WebAuthn passkeys and Google OAuth for enhanced security. You must notify us immediately of any unauthorised account access.
5.5 — Identity Fields — Locked & Tutor-Controlled
To preserve record integrity and protect against unauthorised or inadvertent changes (including by minor Users), the following identity fields are locked and cannot be edited by the Student — whether in their profile or during A.Y. Renewal: full name, registered email, date of birth (and derived age), parent/guardian names, and blood group. Blood group is captured once at onboarding and is not changeable by the Student thereafter. These can be amended only by the EduVerse™ Owner/Tutor via Student Management, with the change recorded in the audit trail. All other profile fields (e.g., school, address) may be updated by the Student subject to confirmation.
6. Service Description
EduVerse™ provides:
- One-on-one and group tutoring sessions via integrated video conferencing
- AI-powered learning assistance (Genkit / Gemini)
- Progress tracking, test assessments, and performance analytics
- Curriculum-aligned educational resources (Common Core, CBSE, ICSE, IB, and others)
- Scheduling and calendar management with timezone-aware displays
- Secure payment processing with multiple gateways
We reserve the right to add, modify, or discontinue features with reasonable notice. Discontinued features that affect paid services will be accompanied by a refund or service credit where applicable.
6.3 — Value Education — Complimentary Feature
EduVerse™ provides a Value Education curriculum as a Complimentary feature — it is included with every active student account at no additional charge, regardless of the subscribed plan tier or billing currency.
- Value Education topics (honesty, empathy, responsibility, citizenship, digital ethics, and related values) are automatically mapped to the student's enrolled grade and curriculum board.
- Content is curated and published by the EduVerse™ platform Owner. Topic availability may vary by grade and board.
- The complimentary nature of Value Education means it is not covered under any refund, SLA, or service-level guarantee that applies to paid subject curricula.
- EduVerse™ reserves the right to update, expand, or modify Value Education content without prior notice. Removal of previously published content for specific grades may occur during content refresh cycles.
- Value Education does not replace, and is supplementary to, any paid subject curriculum the student is enrolled in.
The "Complimentary" designation will be visibly indicated in the student interface. Students and guardians acknowledge that Value Education content is provided on an as-available, best-effort basis and that its scope is at the Platform's sole discretion.
7. User Obligations & Conduct
By using EduVerse™, you agree not to:
- Violate any applicable law or regulation
- Harass, abuse, threaten, defame, or harm any other user
- Upload or share offensive, illegal, or infringing content
- Impersonate any person or entity or misrepresent your qualifications
- Attempt to gain unauthorised access to platform systems or other user accounts
- Use automated bots, scrapers, or crawlers without prior written consent
- Share your account credentials with any other person
- Engage in commercial solicitation outside the platform's intended use
- Circumvent or interfere with security, billing, or access control systems
Violations may result in immediate account suspension and/or legal action.
8. Payment Terms & Billing
8.1 — Fee Structure
Tutoring fees are determined by the selected plan (Plan A, B, or C), subject selection, board/curriculum, and geographic region. The applicable fees are displayed during the onboarding Fee Planner step. A monthly platform fee applies in addition to tutoring fees.
8.2 — Payment Gateways
Payments are processed through Razorpay (India / INR) and PayPal (International / USD). EduVerse™ does not store raw payment card data; all card processing is handled by the respective gateway.
8.3 — Refund Policy
A non-refundable Registration & Processing Charge (or 2% of the paid value, whichever is lower) i.e. ₹250/- is levied as a one-time, non-recurring component on every initial onboarding payment. This charge is not applicable to subsequent recurring billing instalments.
Refunds are processed exclusively through the Account Closure & Deactivation (ACD) process described in §12.2. A standalone refund request independent of account closure is not available.
8.3.1 — Tiered Refund Windows
The refund eligibility window is proportional to the financial commitment made under each plan:

A refund claim must be filed within the applicable window above. The window is measured from the date of the most recent payment for the relevant billing period.
8.3.2 — Pro-Rata Refund Formula (Within Window)
Where an Account Closure & Deactivation request (§12.2) is initiated within the applicable refund window, the refund is computed on a day-based pro-rata basis:
- Refundable base = Original payment amount − Registration & Processing Charge (non-refundable in all cases).
- Pro-rata retention = (Days elapsed since payment ÷ Total days in billing period) × Refundable base.
- Net refund = Refundable base − Pro-rata retention.
- Example (Plan B, ₹18,000 for 182 days, claim on day 30): Refundable base = ₹18,000 − R&P Charge. Retention = (30 ÷ 182) × base. Net refund = base − retention.
8.3.3 — Discretionary Waiver (Beyond Window)
Where a refund claim is filed beyond the applicable tiered window, no refund is ordinarily available. However, the EduVerse™ Owner/Founder may, at their sole discretion, grant a one-time Discretionary Waiver per claim under exceptional circumstances. The following conditions apply:
- Waiver is not a right: Granting a waiver is entirely at the Owner's discretion. The published tiered windows remain the governing standard; a waiver is an exceptional accommodation.
- Mandatory documented reason: The Owner must log a reason for the waiver. The reason is retained for audit purposes.
- One waiver per claim: A single claim may receive at most one Discretionary Waiver.
- Flat Cancellation Charge: Even where a waiver is granted, a flat Cancellation Charge of ₹500 (INR) or USD 6 (USD) is deducted from the refund amount in addition to the pro-rata retention. This charge is non-negotiable and applies on every waiver grant.
- Refund formula with waiver: Net refund = Refundable base − Pro-rata retention − Cancellation Charge (₹500 / $6).
8.3.4 — General Refund Conditions
- Account Closure prerequisite: A refund claim may only be filed after initiating Account Closure & Deactivation (ACD) per §12.2. Refunds are a downstream consequence of ACD — no standalone refund channel is available.
- Registration & Processing Charge: Always non-refundable, irrespective of when the claim is filed, whether it is within or beyond the window, or whether a waiver is granted.
- Session cancellations with ≥24-hour advance notice: The cancelled session shall be adjusted and rescheduled subject to tutor availability and at the sole discretion of the EduVerse™ Owner.
- No-show or late cancellation (less than 24-hour notice): The session is considered forfeited. No credit, refund, or rescheduling entitlement is issued.
- Refund disbursement: Approved refunds are credited automatically to the User's original payment method via the originating gateway (Razorpay for INR, PayPal for USD), typically within 5–7 business days. No alternate refund channel is offered.
A Statement of Accounts Closure & Refunds detailing the refund computation (including pro-rata breakdown and any cancellation charge) is issued to both the User and the EduVerse™ Owner at the time of an Account Closure & Deactivation request (see §12.2).

8.4 — Late Payments
Accounts with overdue balances may be suspended until payment is received. Persistent non-payment may result in account termination.
8.5 — Subscription Plans & Recurring Auto-Debit Authorisation
EduVerse™ offers three plan structures selected during onboarding:

- For Plan A and Plan B, by authorising the first payment the User establishes a recurring auto-debit mandate — via UPI AutoPay (Razorpay) for INR accounts or PayPal recurring billing for USD accounts — under which subsequent instalments are charged automatically on each billing date without further action by the User.
- The first instalment of any plan includes the one-time Registration & Processing Charge; subsequent instalments are charged at the clean plan amount.
- Plan C is a single annual charge with no recurring mandate.
- Currency and gateway are determined by the User's board/curriculum at onboarding and cannot be changed except by Owner-facilitated renewal (§8.7).
8.6 — Recurring Payment Failure & Subscription Halt
Where a scheduled auto-debit fails (e.g., insufficient funds, expired or revoked mandate), the payment gateway automatically re-attempts the debit up to three (3) times. If all attempts fail, the subscription is halted and platform access is suspended until resolved. The User is notified and may, at the Owner's discretion, be granted a temporary grace period (up to 30 days, limited to three grants per academic year) to restore the mandate or settle dues. Restoration of access is at the sole discretion of the EduVerse™ Owner following verification of payment.
8.7 — Plan Renewal & Academic Year (A.Y.) Transition
- Plan A (monthly) continues on a rolling basis until cancelled via Account Closure & Deactivation (§12.2) or a renewal / plan change is facilitated by the Owner.
- Plan B (6-month) and Plan C (annual) expire at the end of their paid term and require renewal to continue into a new academic year or term.
- A.Y. Renewal is performed from My Accounts → A.Y. Renewal (or facilitated by the Owner). It does not require repeating onboarding (KYP) — the User re-confirms their existing profile.
- Grade progression: on renewal the grade advances to the next level and fees are recomputed per the prevailing fee schedule for the new grade (and may differ from the prior term).
- Tutor approval: a renewal and any associated changes take effect only after EduVerse™ Owner/Tutor approval. Payment is collected at submission; the renewed plan activates on approval.
- Continuity: the renewed term commences from the current plan expiry — no loss of remaining validity and no duplicate charging within the current paid period.
- The Registration & Processing Charge is a one-time onboarding component and is not charged again on renewal. The User's Student ID is retained unchanged.
9. Intellectual Property
All content on EduVerse™ — including but not limited to the logo, brand identity, software code, UI design, educational materials, assessments, and AI-generated content — is owned by or licensed to EduVerse™ and is protected by copyright, trademark, and intellectual property laws.
- The EduVerse™ trademark and logo may not be used without written permission.
- Platform software may not be reverse-engineered, decompiled, or redistributed.
- User-generated content (notes, assignments) remains the User's intellectual property. By submitting content, you grant EduVerse™ a non-exclusive licence to display and store it within the platform for the purposes of service delivery.
10. Disclaimers & Limitation of Liability
10.1 — No Warranty
The Platform is provided "AS IS" without warranties of any kind, expressed or implied. We do not guarantee uninterrupted, error-free, or virus-free service.
10.2 — Educational Outcomes
While EduVerse™ strives for quality education, we do not guarantee specific academic results, examination outcomes, or grade improvements. Learning outcomes depend on individual effort and circumstances.
10.3 — Limitation of Liability
To the maximum extent permitted by law, EduVerse™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform. Our aggregate liability shall not exceed the total fees paid by you in the three months preceding the claim.
10.4 — Non-Compliant Use: Waiver of Damages
Users who engage in non-compliant use of the Platform expressly waive any right to claim damages and shall not be entitled to hold EduVerse™, its founder, employees, tutors, or affiliates liable for any loss, disruption, data loss, service denial, or account action arising directly or indirectly from such non-compliance. Ignorance of the published Terms or policies shall not constitute a valid defence or ground for any such claim.
11. Third-Party Services
The Platform integrates with the following third-party services. Your use of these is governed by their respective terms:

12. Suspension, Account Closure & Reinstatement
12.1 — Suspension & Termination by EduVerse™
EduVerse™ reserves the right to suspend or permanently terminate accounts that:
- Violate these Terms or any platform policies
- Engage in fraudulent, abusive, or illegal activity
- Fail to make required payments after repeated notice
Upon termination, your right to access the Platform ceases immediately. Data deletion is handled per EVP-DDP-01.
12.2 — Account Closure & Deactivation (ACD)
A User who wishes to discontinue services and close their account must use the Account Closure & Deactivation (ACD) process under My Accounts → Account Closure & Deactivation. Cancellation of a subscription is effected solely through this process — there is no separate "cancel subscription" action. To protect Users (including minors aged 13–17) from inadvertent or unauthorised financial actions, ACD follows this safeguarded sequence:
- Consent & reason capture — the User confirms they have read these Terms and selects a reason for closure.
- Email OTP verification — a one-time password sent to the registered email must be entered to proceed, authenticating the account holder.
- Tutor / Owner approval — the request is routed to the EduVerse™ Owner; no closure takes effect without approval. This also serves as a guardianship safeguard for minor Users.
- Refund computation — a Statement of Accounts Closure & Refunds is generated per §8.3 (strict 7-day window) and issued to both parties.
- Upon approval — the recurring subscription is cancelled immediately at the gateway; any eligible refund is processed to the original payment method; the account enters a 24-hour read-only hold (view-only; no messaging, downloads, submissions, or scheduling).
- Deactivation — after the 24-hour hold, platform access including sign-in is disabled and the account is moved to a Disenrolled state.
Closure constitutes cessation of all EduVerse™ services for that account. EduVerse™, its founder, employees, and affiliates bear no liability for loss of access to data or services following a User-initiated closure executed in accordance with this clause.
12.3 — Reinstatement
A closed (Disenrolled) account may be reinstated by the EduVerse™ Owner within 90 (ninety) days of closure. Upon reinstatement, the User regains access and may resume services by completing a renewal payment (§8.7) — no repeat of onboarding (KYP) is required. After the 90-day period, reinstatement is no longer available and account data is archived/purged per EVP-DDP-01.
12.4 — Data Retention on Closure
Following Account Closure & Deactivation, User data is retained for the 90-day reinstatement window and is thereafter deleted or archived in accordance with the Data Deletion Policy (EVP-DDP-01). You may request expedited account deletion at any time via the Data Deletion page, subject to statutory financial-record retention obligations.
13. Governing Law & Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of India.
- All disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Courts of Mumbai, Maharashtra, India.
- Parties shall first attempt to resolve disputes amicably within 30 days of written notice.
- Unresolved disputes shall be referred to binding arbitration under the Indian Arbitration and Conciliation Act 1996, with a sole arbitrator appointed by mutual agreement.
- The arbitration proceedings shall be conducted in English, in Mumbai.
14. Policy Amendments
We may update these Terms periodically. Material changes — particularly those affecting payment, data collection, or governing jurisdiction — will trigger a mandatory re-consent via the EUWA mechanism. Continued use of the Platform after notification of minor changes constitutes acceptance. All versions are archived and tracked in the Document Control block above.
